Ending a general partnership (vennootschap onder firma, VOF) is often complex in practice. Partners who have worked together for years are confronted with questions about the end date of the partnership, continuation of the business, the valuation of assets and the distribution of capital. It is precisely at this stage that disputes regularly arise.<\/p>\n

These disputes can often be traced back to the absence of clear agreements at the start of the cooperation. As long as relations are good, the absence of a (comprehensive) partnership agreement usually causes few problems. Once the cooperation ends, however, those missing agreements prove to be an endless source of discussion. This is all the more true because each partner is not only a co-owner of the joint partnership assets (a form of co-ownership), but can also be held liable personally and in full for the debts of the partnership towards creditors.<\/p>\n

In this blog, we discuss the practical legal points of attention that come with ending a general partnership, and the significant role a partnership agreement or termination agreement can play in that process.<\/p>\n

A partnership deed on termination, or not?<\/strong><\/h4>\n

If a partnership agreement was concluded at the start of the cooperation, it usually contains provisions on how the cooperation can be ended. The agreement then serves as the legal framework for the wind-up. This is sometimes forgotten, and parties often already start discussing, or in a worst case set things in motion that they later regret. A partnership agreement often includes arrangements on continuation of the business by one of the partners, the valuation of the partnership’s assets and goodwill, the allocation of profit and loss, and any non-compete restrictions for the departing partner.<\/p>\n

If a partnership agreement is missing, the parties must fall back on the statutory provisions. This relatively old legislation offers few concrete guidelines and leaves much room for interpretation, which considerably increases the chance of disputes between partners. Case law is therefore also important here, and it does not always show a single consistent line. In the absence of agreements, that case law will also need to be consulted for the most current position.<\/p>\n

Termination of the partnership: ending or continuation?<\/strong><\/h4>\n

In most cases, a general partnership ends through termination by one of the partners. The law imposes no formal requirements on this termination notice. However, it must be unambiguously clear from the notice that the partner genuinely wishes to end the cooperation.<\/p>\n

In addition, the partner giving notice must take into account the legitimate interests of the other partners. In practice, this usually means that a reasonable notice period must be observed. If a partnership agreement has been drawn up, such a notice period is often explicitly set out in it.<\/p>\n

Dissolution of the partnership<\/strong><\/h4>\n

A valid termination notice leads to dissolution of the partnership. The partners must then determine the date as of which the partnership is deemed dissolved. This dissolution date is of great importance, because it determines the valuation of assets and liabilities and the determination of the partners’ capital positions. This is usually aligned with the end of the notice period where notice has been given, or with a practical moment, such as the end of the financial year or the date on which one of the partners deregisters from the Chamber of Commerce. If the partners fail to reach agreement on this, the court can determine the dissolution date, and that will then be the date on which one of the partners gave notice. The dissolution must also be registered with the Chamber of Commerce.<\/p>\n

Winding-up and distribution of the assets<\/strong><\/h4>\n

After dissolution, the winding-up of the partnership’s assets follows. Outstanding obligations are settled, and the partnership’s assets (joint assets and liabilities) are inventoried, valued and must be distributed among the partners. Disputes regularly arise at this stage about the value of the business, the presence and extent of goodwill, the partners’ capital positions, and the allocation of profit and loss and of the assets and liabilities. These discussions can partly be avoided in advance by making clear agreements about them in a partnership agreement before starting the cooperation.<\/p>\n

The importance of a partnership deed and termination agreement<\/strong><\/h4>\n

Although most disputes arise at the end of the cooperation, the key to a manageable wind-up often lies in agreements made in advance. A well-drafted partnership agreement provides clarity on termination, valuation, continuation and distribution. As such, it forms an important framework for both dissolution and winding-up.<\/p>\n

At the actual end of the cooperation, it is then essential to work out the agreements made in concrete terms in a termination agreement. This creates clarity about the dissolution date, the distribution of the assets and the final settlement, which can prevent delay and unnecessary discussions and\/or proceedings.<\/p>\n
